Public Offer for the Provision of Services

1. General provisions

This document is a public offer (hereinafter the "Offer") of the Silkway Med service (hereinafter the "Provider") and is addressed to any individual (hereinafter the "Client") who approaches the Provider for services to organize a medical treatment trip to the People's Republic of China. The Offer is drawn up in accordance with Articles 435 and 437 of the Civil Code of the Russian Federation.

Acceptance of the Offer is deemed to be one of the following actions by the Client:

  • payment of the service fee (in full or in part) on the basis of an invoice issued by the Provider;
  • signing of a statement of acceptance of the terms of this Offer;
  • written consent to the terms of the Offer sent to the Provider by email or via messenger.
The Provider's legal entity / sole proprietor: will be specified after registration (TIN, PSRN, registered address, bank details).

2. Terms and definitions

Client
an individual who has accepted the Offer and receives the Provider's services.
Provider
the Silkway Med service, which organizes the Client's medical treatment trip to China and provides services in accordance with this Offer.
Partner Clinic
a medical organization located in the People's Republic of China with which the Client enters into an independent contract for the provision of medical services.
Services
the set of organizational and informational services of the Provider listed in Section 3 of this Offer.
Service Fee
the monetary remuneration of the Provider for the provision of the Services.
Medical services
diagnostic, treatment, surgical, and other medical procedures provided by the Partner Clinic and not falling within the scope of this Offer.

3. Subject of the contract. Composition of the services

The Provider undertakes to provide the Client with services for organizing a medical treatment trip to China, and the Client undertakes to pay the service fee. The services include:

  • analysis of the Client's medical request and selection of suitable Partner Clinics;
  • organization of communication between the Client and the Partner Clinic, informational intermediation;
  • assistance in preparing and translating medical and supporting documents;
  • organization of the trip to China: assistance in selecting and booking flights, accommodation, transfers, and interpreter services;
  • assistance to the Client in concluding a contract with the Partner Clinic (advice on its content, arranging the signing);
  • support of the Client during their stay in China to the agreed extent.

4. What is not included in the scope of the Offer

The Provider does not deliver medical services. All diagnostic, treatment, surgical, and other medical procedures are provided exclusively by the Partner Clinic on the basis of an independent contract between the Partner Clinic and the Client.

The following are not included in the scope of this Offer and are not provided by the Provider:

  • medical services of any nature, including doctors' consultations, diagnostics, and treatment;
  • payment of the cost of the Partner Clinic's medical services (the Client pays for them directly to the Clinic);
  • medical and travel insurance (purchased by the Client independently);
  • legal representation of the Client in disputes with the Partner Clinic or other third parties;
  • guarantees of the medical outcome of treatment, the absence of side effects, or the absence of complications.

5. Cost and payment procedure

The cost of the service fee is calculated by the Provider individually, taking into account the complexity of the request, the scope of organizational services, the duration of the trip, and other material factors. The amount of the service fee is agreed upon by the parties and recorded in an estimate (or invoice) before the provision of services begins.

The payment procedure (lump sum or in installments), the currency, and the method of transfer are also agreed upon by the parties and recorded in the estimate. Payment for medical services is made by the Client directly to the Partner Clinic in the manner established by the contract with the Clinic and does not form part of the settlements under this Offer.

6. Rights and obligations of the parties

6.1. The Provider undertakes to:

  • select in good faith a Partner Clinic that matches the Client's medical request;
  • promptly inform the Client about the progress of the selection, the organization of the trip, and other material circumstances;
  • ensure the confidentiality of the information received in the manner specified in Section 8;
  • refund the unused portion of the service fee in the event of termination of the contract on grounds beyond the Client's control.

6.2. The Client undertakes to:

  • provide the Provider with accurate information about themselves and their medical request, necessary for selecting a Partner Clinic;
  • pay the service fee in a timely manner in the agreed manner;
  • independently conclude and pay for the contract for the provision of medical services with the Partner Clinic;
  • obtain the documents required for the trip (international passport, visa, insurance) and bear the associated costs.

7. Liability of the parties

The Provider is liable only for the quality and timeliness of the services it provides, up to the amount of the service fee actually paid by the Client.

The Provider is not liable for the quality, timeliness, or outcome of the medical services provided by the Partner Clinic, nor for any possible complications, side effects, or other consequences of medical procedures. Liability for the provision of medical services rests with the Partner Clinic in accordance with the legislation of the People's Republic of China and the terms of the contract between the Clinic and the Client.

The parties are released from liability for the non-performance of obligations if it is caused by force majeure circumstances (see Section 9).

8. Confidentiality and personal data

The parties undertake not to disclose confidential information that has become known to them in connection with the performance of this Offer, except in cases expressly provided for by law or necessary for the provision of services (transfer to the Partner Clinic and to transport and other organizational partners).

The processing of the Client's personal data is carried out in accordance with the Provider's Personal Data Processing Policy.

9. Force majeure

The parties are not liable for the full or partial non-performance of obligations if it is the result of force majeure circumstances: natural disasters, wars, epidemics, air travel restrictions, acts of state authorities, and other events beyond the control of the parties.

In the event of force majeure circumstances, the parties act in good faith and agree to postpone deadlines or to refund the amounts paid, less the costs actually incurred by the Provider.

10. Term and termination of the contract

The contract takes effect from the moment the Client accepts the Offer and remains in force until the parties have fully performed their obligations. The contract may be terminated early by agreement of the parties or unilaterally in the cases provided for by the legislation of the Russian Federation.

11. Final provisions

The legislation of the Russian Federation applies to the relations between the parties. Disputes not settled through negotiations are resolved in court at the location of the Provider.

The Provider has the right to amend the terms of this Offer. The current version is published on the website at silkwaymed.ru/offer. For Clients who accepted the Offer earlier, the version in effect at the time of acceptance applies.
